Sejak pendaftaran, para pendiri dalam memorandum, bersama orang lain yang kemudian menjadi anggota, menjadi badan hukum dengan nama yang tercantum dalam sertifikat pendirian, mampu menjalankan semua fungsi perseroan.

On registration, the subscribers to the memorandum, together with such other persons as may become members, are a body corporate by the name stated in the certificate of incorporation, capable of exercising all the functions of an incorporated company.

Perseroan tertutup (private) wajib memiliki sekurang-kurangnya satu direktur; perseroan terbuka (public) wajib memiliki sekurang-kurangnya dua direktur.

A private company must have at least one director; a public company must have at least two directors.

Seorang direktur wajib bertindak menurut cara yang menurut keyakinannya, dengan iktikad baik, paling mungkin memajukan keberhasilan perseroan demi kepentingan para anggotanya secara keseluruhan, dengan memperhatikan akibat jangka panjang, kepentingan karyawan, hubungan dengan pemasok dan pelanggan, dampak terhadap masyarakat dan lingkungan, serta reputasi perseroan.

A director must act in the way he considers, in good faith, would be most likely to promote the success of the company for the benefit of its members as a whole, having regard to the long-term consequences, the interests of employees, relationships with suppliers and customers, the impact on the community and environment, and the company's reputation.
